Term and Duration
This Agreement shall commence on the Effective Date and shall continue in force for an initial period of twenty-four (24) months ("Initial Term"), unless earlier terminated in accordance with Section 11. Upon expiration of the Initial Term, this Agreement shall automatically renew for successive twelve (12) month periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the expiration of the then-current term.
Section 6
Fees and Payment
Client shall pay Provider the fees set forth in the applicable Statement of Work. All invoices shall be payable within thirty (30) days of receipt. Late payments shall accrue interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is less. Provider reserves the right to suspend Services upon fifteen (15) days' written notice of non-payment.
Section 7
Confidentiality
Each party agrees to hold in confidence all Confidential Information disclosed by the other party during the term of this Agreement and for a period of three (3) years thereafter. Confidential Information shall not include information that: (a) is or becomes publicly available without breach; (b) was known to the receiving party prior to disclosure; (c) is independently developed; or (d) is disclosed pursuant to a court order or regulatory requirement.

Indemnification

8.1 Each party (the "Indemnifying Party") shall defend, indemnify, and hold harmless the other party and its officers, directors, employees, agents, successors, and assigns from and against any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to any third-party claim arising from the Indemnifying Party's breach of this Agreement or negligent acts or omissions.

8.2 Notwithstanding any other provision of this Agreement, the Indemnifying Party's total aggregate liability shall not be limited under this Section. The Indemnifying Party's obligation to indemnify shall survive the termination or expiration of this Agreement.

8.3 The Indemnified Party shall provide prompt written notice of any claim, cooperate in the defense, and not settle without the Indemnifying Party's prior written consent.

Section 9
Limitation of Liability
EXCEPT FOR INDEMNIFICATION OBLIGATIONS AND BREACHES OF CONFIDENTIALITY, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This limitation shall not apply to damages arising from gross negligence or willful misconduct.

Data Protection
Each party shall comply with all applicable data protection laws, including but not limited to the Digital Personal Data Protection Act, 2023 (DPDPA) and applicable regulations thereunder. Provider shall implement appropriate technical and organisational measures to ensure a level of security appropriate to the risk, including encryption of personal data in transit and at rest. Provider shall notify Client without undue delay upon becoming aware of a personal data breach.
Section 11
Termination
Either party may terminate this Agreement: (a) for material breach, upon thirty (30) days' written notice if such breach remains uncured; (b) immediately upon written notice if the other party becomes insolvent, files for bankruptcy, or ceases to operate; or (c) for convenience, upon ninety (90) days' prior written notice. Upon termination, Provider shall return or destroy all Confidential Information and provide reasonable transition assistance for a period not exceeding sixty (60) days.
